Welcome to iecoit.com. These Terms of Service contain the terms and conditions that govern all use of our products (as defined below) and Services (as described below) and all content, services or products available on or through the Platform (collectively, the “IEC, Inc.”).

Our Services are offered to you subject to your acceptance, without modification (other than Special Terms (as defined below) agreed by the parties pursuant to these Terms of Service), of all of the terms and conditions contained herein and all other operating rules, policies, the Guidelines (as defined below) and any future modifications thereof, and procedures that may be published from time to time on the website or made available to you on or through our Services (collectively, the “Terms”). When accepted by you (as defined below), these Terms form a legally binding contract between you and Supplier (as outlined below). If you are entering these Terms on behalf of an entity, such as your employer or the company you work for, you represent that you have the legal authority to bind that entity.

PLEASE READ THESE TERMS CAREFULLY. BY REGISTERING FOR, ACCESSING, BROWSING, AND/OR OTHERWISE USING THE OUR PRODUCTS AND/OR OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, DO NOT ACCESS, BROWSE OR OTHERWISE USE OUR PRODUCTS /AND/OR SERVICES.

IECOIT or associates may, in its sole discretion, elect to suspend or If you register for a free trial (preview for free), the applicable provisions of these Terms will govern that free trial.

The original language of these Terms is English. A user may do available translations for convenience. In case of conflicts between the original English version and any translation, the English version shall prevail.

1.Authority to Enter into These Terms

The use of the IECOIT products or services is subject to acceptance of these Terms. To accept these Terms for itself or on behalf of a Client, a person must have the legal capacity to do so. In the case of an individual, the individual must be at least 18 years of age or have valid authorization from his/her legal representative or custodian. In the case of a legal entity, the entity must be duly incorporated and in good standing.

You may not, without prior written consent, access our products or services (i) for production purposes, (ii) if you are a competitor, (iii) to monitor the availability, performance or functionality of the Services or (iv) for other benchmarking or competitive purposes.

Once accepted, these Terms remain effective until terminated as provided for herein.

2.Modifications to Terms

Supplier reserves the right, at its sole discretion, to change, modify, add, or remove portions of the Terms at any time by posting such changes on the website. Please check these Terms periodically for changes.

3.Our Responsibilities

3.1. Provision of Services. IECOIT will (a) make our Services & products available pursuant to these Terms, (b) provide applicable standard support to Client at no additional charge (c) use commercially reasonable efforts to make the our Services available 8 hours a day, 5 days a week, except for: (i) planned downtime and (ii) any unavailability caused by circumstances beyond reasonable control, including, for example, an act of God, act of government, flood, fire, earthquake, civil unrest, act of terror, strike or other labor problem, Internet service provider failure or delay, or denial of service attack.

3.2. Protection of Client Data. The supplier will maintain administrative, physical, and technical safeguards for the protection of the security, confidentiality, and integrity of Client Data, as described in the Guidelines.

The Services may be performed using equipment or devices located in the European Union or the United States. The personal data of EU citizens that are processed will receive an adequate level of protection within the meaning of Article 46 of Regulation (EU) 2016/679 (General Data Protection Regulation).

4.Payment

4.1 Credit Card Authorization. IECOIT or an external platform may seek pre-authorization of customer credit card account prior or later to your purchase to verify that the credit card is valid and has the necessary funds or credit available to cover your purchase. You authorize such credit card account to pay any amounts described herein and authorize us to charge all sums described in these Terms to such credit card account. You agree to provide updated information regarding your credit card account upon request and any time the information earlier provided is no longer valid.

4.2 Electronic Invoice. All invoices are available for download from you can make a separate request to the invoice at rory@iecoit.com

5.Services

5.1 Use of Services. Subject to these Terms, and the payment of the applicable service Fee, the IECOIT may grant its authorized users a non-exclusive, non-transferable, non-sub-licensable license to use the services

5.2 Support. IECOIT shall provide reasonable support to customers at the reasonable request. All queries shall be responded to

6.Restrictions

6.1 Prohibited Activities. Customers may use our Services and any part or element thereof only in the scope, with the means and for purposes as identified in these Terms and applicable law. By way of example, neither the customer or any User may:

a. use our Services or any part or element thereof to commit a crime, breach any applicable law or entice or invite others to carry out such illegal actions;

b. copy, duplicate, distribute, modify, adapt, hack, create derivative works, reverse engineer or decompile our Services or any part or element thereof, or attempt to extract the source code thereof, unless (i) it is expressly allowed under applicable law, and (ii) to the extent that the Supplier is not permitted by that applicable law to exclude or limit the foregoing rights;

c. use our or any part or element thereof unless it has agreed to these Terms.

7.Intellectual Property Rights

The Services and products of the IEC trade names and trademarks, and any parts or elements thereof are solely and exclusively owned and operated by the IECOIT, and its third-party vendors and hosting partners. Our Materials are protected by copyright, trade dress, patent, trade secrets, and trademark laws, international conventions and treaties, and all other relevant intellectual property and proprietary rights laws. Any commercial or promotional distribution, publishing or exploitation of our Materials is strictly prohibited unless you have received the express prior written permission from us

7.1 Content Owned by IECOIT. Subject to these Terms and the payment of the applicable service Fee, IECOIT grants customers and its authorized users a non-exclusive, non-transferable, non-sub-licensable license to download a single copy of any part of the Content solely for your personal, non-commercial use if you retain all copyright and proprietary notices that are contained in such part of the Content. You expressly acknowledge that you do not acquire any ownership rights by downloading any copyrighted material. You shall not copy, distribute or publish any Content or any information obtained or derived from there. As otherwise permitted by applicable law.

8. Registration Policy

8.1 Once you authorize payment for any course(s), there is no refund available since the credit card and bank fees are immediately initiated.

8.3 When you enroll in an IECOIT online course or program, you will be given a Username and Password.  These will enable you to access the lessons and other course content. You may not disclose your Username or Password to any other individual or group. IEC reserves the right to cancel your registration without refund if you are determined to have shared your Username and Password or charge you registration fees for each that has accessed restricted content using your Username and Password.

8.4 IECOIT’s educational content may be printed or otherwise reproduced for the registered member’s use only. The distribution to other individuals or groups of printed or otherwise copied online course content is strictly prohibited. In the event of such distribution, IECOIT will be entitled to all remedies under copyright or other applicable law.

8.5 IECOIT’s liability to any particular member and/or the organization who had paid for the registration of any members is limited to the amount paid for the registration(s).

8.6 IECOIT will have the right to use members’ and their organizations’ names on its web page which lists customers. The inclusion of these names will not be presented in a manner to indicate any endorsement of the IECOIT’s services unless otherwise agreed in writing.

8.7 Any member who requests a refund as part of the IECOIT’s money back guarantee will forfeit his or her right to any incentives that were offered for registering for the course, courses or programs. The member will be required to return any incentives to the IECOIT with postage paid by the IEC. If the member received a printer-friendly version of course materials, the member must delete all electronic copies of those materials and destroy all printed reproductions of the documents that the member made.

8.8 All refunds will be paid to members within thirty (30) days of the member’s refund request is made following this registration policy.

8.9 Individuals utilizing ACH / Wire Transfer / TT services as a means of remitting registration fees IECOIT are responsible for all fees assessed by their banking institution for the service used. Individuals should NOT elect for the fees to be withdrawn from the amount transferred so that the amount received by IECOIT is equal in whole to the amount required for enrollment in the courses and/or programs in which the individual is registering.

9.Indemnification

You agree to defend, indemnify and hold harmless IECOIT and its affiliates, and their respective directors, officers, employees, and agents, from any claims, losses, damages, liabilities, including attorney’s fees, arising out of your use or misuse of our Services.
